End-User Licence Agreement (EULA)

১ · Parties

This EULA is between you (the “Licensee”) and TICON SYSTEM LIMITED(the “Licensor”, “we”), the owner of the TenderPulse software, prompts, PPR-2008 rule database, model fine-tuning datasets, UI designs, brand marks, and all related intellectual property.

২ · Licence grant

Subject to your compliance with the Terms of Service, the Privacy Policy, and this EULA, we grant you a worldwide, royalty-paid (via your subscription), non-exclusive, non-transferable, non-sublicensable, revocable licence to use the TenderPulse hosted service through your authenticated account, for the duration of your subscription, for the purpose of preparing and managing your own tender bids.

৩ · Restrictions

You may not:

• Copy, redistribute, sublicense, sell, lease, rent, lend, host, or expose the software or any part of it to a third party.
• Reverse-engineer, decompile, disassemble, or attempt to derive source code, model weights, or proprietary prompt engineering from the service.
• Bypass or attempt to bypass authentication, rate limits, quotas, plan gates, or licence checks.
• Use AI outputs to train any third-party model, build a competing tender-prep product, or extract our PPR-2008 rule database for redistribution.
• Remove, hide, alter, or obscure any TenderPulse branding, copyright notice, or trademark on materials we provide (including downloadable PDFs / DOCX exports).
• Use the software to develop or improve any artificial intelligence service that competes with TenderPulse.
• Use the software in violation of any export-control law, sanction, or embargo.

৪ · IP ownership

TICON SYSTEM LIMITED owns the entire right, title, and interest in:

• The TenderPulse software, source code, hosted service, underlying infrastructure-as-code (SST + Next.js + Prisma).
• The PPR 2008 rule database — including the structured assertions, the Bengali + English bodies we authored, and the embedding vectors we computed.
• Prompts, system prompts, evaluation harnesses, and the fit-score scoring rubric.
• The TICON / TenderPulse brand marks and logo (registered with the Department of Patents, Designs & Trademarks under the Trademarks Act, 2009 where applicable).

Anthropic owns the Claude model weights; Cohere owns the embed-multilingual-v3 model weights — we use them via AWS Bedrock under their respective enterprise agreements.

৫ · Your content (tender uploads)

You retain ownership of every tender ZIP you upload, every document in your vault, every personnel/financial record, and every chat prompt you send.

For us to deliver the service to you, you grant us a limited, worldwide, royalty-free licence to host, store, copy, transmit, and process your content solely to: (a) deliver the service to you, (b) generate fit scores / analyses / answers for your account, and (c) keep operational backups and logs.

We do not use your content to train any model, improve any model, or create derivative works. The licence ends when your account is closed and the data is deleted (within 30 days).

৬ · AI-generated output

• Outputs you receive (fit scores, BoQ extractions, copilot answers, eligibility narratives, summary memos, exported DOCX letters) are yours to use, modify, and submit as part of your tender bid.
• You are responsible for verifying outputs against the source tender document and the official PPR 2008 — see clause 13 of the Terms.
• You may not represent AI-generated output as our work-product or as the work-product of a registered consultant of the procuring entity.

৭ · Open-source components

TenderPulse is built on open-source components (Next.js, Prisma, Tailwind, Radix, etc.) under their respective licences. Their licences continue to apply to those components; nothing in this EULA is intended to restrict rights you have under those upstream licences.

৮ · Trial use

During the 7-day free trial, the same licence terms apply. You may not extend the trial beyond 7 days by creating duplicate accounts (clause 3 of the Terms — one company, one account).

৯ · Suspension & termination of licence

The licence terminates automatically when:

• Your subscription expires and you do not renew within the grace period;
• We suspend your account for material breach of clause 3 or clause 9 of the Terms; or
• You delete your account.

On termination, you must stop using the service and discard any cached AI outputs you have not already submitted as part of an in-flight bid. Outputs already incorporated into a submitted bid remain validly licensed to you.

১০ · Warranty disclaimer

Except for the explicit availability commitment in the Terms, the software is provided “as is”. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement — to the maximum extent permitted by Bangladesh law. AI is probabilistic; you remain accountable for your bid.

১১ · Liability

Our liability under this EULA is part of, and not in addition to, the cap in clause 14 of the Terms. The Terms’ liability cap applies to all claims under either document.

১২ · Changes to this EULA

We will give at least 14 days’ notice (email + in-app banner) before any material change. Current version: 2026-05-06.v1. Continued use after the new version takes effect is your acceptance.

১৩ · Governing law

This EULA is governed by the laws of the People’s Republic of Bangladesh. Disputes follow the dispute-resolution clause of the Terms (Dhaka courts / Arbitration Act 2001).
