১ · Parties

These terms (the “Agreement”) are between you (the “User” or “Subscriber”) and TICON SYSTEM LIMITED, a company registered in Dhaka under the Companies Act, 1994 (the “Company”, “we”, “us”), trading the TenderPulse product at tenderpulse.com.bd.

২ · Acceptance

By signing up, you acknowledge that you have read and accepted these Terms, the Privacy Policy, and the EULA. Each acceptance is recorded with the document version, locale, IP, user-agent, and timestamp — see clause 12 of the Privacy Policy for the evidentiary handling.

If you accept on behalf of a company, you represent that you are authorised to bind that company under its trade-license / RJSC registration.

৩ · Your account

• One company = one paid account. We enforce uniqueness on TIN, BIN, trade-license number, and normalised legal name. If a second email tries to register with the same identifiers we ask you to consolidate.
• You are responsible for keeping your password confidential. We recommend using a password manager; we do not impose maximum length to encourage long passphrases.
• You may not share login credentials. Each individual on your team should have their own account on the relevant plan’s seat allowance.

৪ · Trial

• 7-day free trial on signup, no card required.
• During trial, you may upload a limited number of tenders and run AI queries up to the trial quota shown in your dashboard.
• On expiry, your account becomes read-only until you subscribe to a paid plan; no data is deleted on expiry alone.

৫ · Plans, pricing & VAT

• Plans, prices, and quotas are listed at /pricing. All prices are quoted in Bangladeshi Taka (BDT, ৳).
• A 15% standard VAT under the VAT & Supplementary Duty Act, 2012 is added to the listed price unless the price is explicitly marked as “VAT inclusive”. The invoice line items show the base + VAT split.
• Currency: BDT. We do not bill in USD or any other currency for Bangladesh-resident customers, in line with the Foreign Exchange Regulations Act, 1947.
• We may change prices for new subscriptions at any time. Existing subscriptions continue at their original price for the rest of the billing period; the new price takes effect at renewal, with at least 14 days’ email notice.

৬ · Payment

• Payments are processed by EPS Bangladesh Limited, a Bangladesh Bank–licensed payment system operator. We accept Visa, Mastercard, AmEx, Nexus, bKash, Nagad, Rocket, Upay, and direct internet banking.
• We never receive your card number, OTP, or PIN. Payment auth happens entirely on EPS infrastructure and EPS returns to us only a transaction reference and the amount paid.
• Off-platform settlements (bank transfer to our account) are allowed for ENTERPRISE plans; an admin will mark the invoice paid within one business day of the funds clearing.

৭ · Renewal & cancellation

• Subscriptions renew automatically at the end of each period. We email a 7-day-before-renewal reminder so you can cancel or change plan without interruption.
• Cancel any time from your billing page. Cancellation takes effect at the end of the current period; you keep paid features until then.
• We do not delete your data on cancellation alone — see clause 11 for deletion.

৮ · Refund policy

Bangladesh’s Consumer Rights Protection Act, 2009 grants certain refund rights against deceptive trade practice. Within those statutory rights, our policy is:

• 7-day money-back guarantee on the first paid period if you have not used more than 5 tender uploads. Email billing@publicpulse.com.bd with your transaction ID.
• After 7 days or 5 tender uploads, refunds are granted only at our discretion for service outages we caused, billing errors, or duplicate charges.
• Card refunds settle to your card via EPS within 7–14 business days; bKash / Nagad refunds within 5 business days.
• A refund of a paid invoice unwinds the subscription period and revokes paid features immediately.

৯ · Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code or AI prompts (see EULA for the IP terms).
• Use the service to upload or process content that is unlawful in Bangladesh, breaches third-party IP, contains malware, or attempts to disrupt the service.
• Upload tender documents you are not authorised to possess (confidential drafts, leaks). The PPR 2008 prohibits this and we will cooperate with CPTU on bona-fide investigations.
• Resell, white-label, or republish AI outputs as a standalone product. Outputs you receive are yours to use in your bid; the underlying model and prompts are not yours to redistribute.
• Use the service for any military, weapons, surveillance-state, or biometric-mass-surveillance use case.
• Probe, scan, or load-test the service without our prior written consent. Authorised security research is welcome via security@publicpulse.com.bd.

১০ · Suspension & termination

• We may suspend or terminate your account for material breach (clause 9), non-payment past 14 days, or court order. We notify you in advance unless legally prohibited from doing so.
• You may terminate at any time by deleting your account from /settings/data.
• On termination, paid plans run to the end of the current period; we then transition the account to read-only and start the deletion countdown described in clause 11.

১১ · Your data on termination

• You can export every byte we hold on you any time from /settings/data.
• On account closure, we hard-delete profile, vault, tender, analysis, and chat data within 30 days. Invoices are retained for 7 years (Income Tax Ordinance, 1984), in pseudonymised form where possible.
• Backups containing your data age out within 35 days from closure. We do not selectively edit historical backups.

১২ · Intellectual property

• The TenderPulse software, brand, trademarks, prompts, models, PPR-rule database, and UI design are the property of TICON SYSTEM LIMITED. See the EULA for the full grant.
• Tender documents you upload remain your property (or the property of the procuring entity that issued them). You grant us a limited license to process them solely to deliver the service to you.
• AI-generated outputs (fit scores, summaries, copilot answers) are yours to use within your tender bid. The underlying prompt engineering and model weights are ours and Anthropic’s respectively.

১৩ · Warranty & AI accuracy

• TenderPulse is a decision-support tool. AI outputs are probabilistic. You remain responsible for verifying every fit score, eligibility verdict, BoQ extraction, and PPR rule interpretation against the original tender document and the official PPR 2008 + amendments.
• We provide deterministic compliance verdicts (BLOCKING / WARNING / PASS) where the rule allows it; AI inferences are clearly marked as such.
• We do not guarantee winning a tender, regulatory acceptance of your bid, or any specific business outcome.
• We strive for 99.5% monthly availability. Scheduled maintenance is announced in advance.

১৪ · Limitation of liability

To the maximum extent permitted by Bangladesh law, our aggregate liability for all claims arising under or in connection with this Agreement, in any 12-month period, is limited to the fees you paid us in that period.

We are not liable for indirect, consequential, or punitive damages — including loss of profit, loss of business opportunity, or loss of data caused by your own action — except as required by the Consumer Rights Protection Act, 2009.

১৫ · Indemnity

You will indemnify us for third-party claims arising from your breach of clause 9 (acceptable use) — for example, if you upload a tender ZIP you were not authorised to possess and the procuring entity sues us as a result, you cover the resulting cost.

১৬ · Changes to these Terms

We will give at least 14 days’ notice (email + in-app banner) before any material change to these Terms. Continued use after the new version takes effect is your acceptance; if you do not accept, you may close the account and request a pro-rata refund of any unused paid period.

১৭ · Governing law & jurisdiction

This Agreement is governed by the laws of the People’s Republic of Bangladesh. The exclusive forum for any dispute is the competent courts at Dhaka, Bangladesh, subject to clause 18.

১৮ · Dispute resolution & arbitration

• We will first attempt good-faith resolution via email; either party may escalate to a 30-day written negotiation.
• If unresolved, the dispute is referred to arbitration under the Arbitration Act, 2001 — single arbitrator, Bangla / English, seat at Dhaka.
• Either party may seek interim relief (injunction etc.) directly from a competent Dhaka court without prejudice to the arbitration clause.

১৯ · Severability & entire agreement

If any clause is held unenforceable, the rest of the Agreement stands. These Terms together with the Privacy Policy, EULA, Cookie Policy, and the order confirmation for your plan form the entire agreement and supersede any prior representations.
