Scope of licence

This End-User Licence Agreement (the “EULA”) is between you (the “Licensee”) and TenderPulse (the “Licensor”, “we”, “us”), a procurement software company registered in Dhaka, Bangladesh. It governs your right to use the TenderPulse hosted service, including the AI bid copilot, eligibility scoring engine, document management vault, and all related software, interfaces, and tooling.

This EULA is a licence — not a transfer of ownership. TenderPulse retains full title to, and ownership of, all intellectual property embodied in the platform. What you receive is a carefully bounded right to use the platform under the conditions described here. Copyright Act 2000 (BD) §17 The Copyright Act, 2000 (Bangladesh) vests copyright in literary, artistic, and computer-program works in the author or employer who caused the work to be created. TenderPulse is the author of the software, system prompts, PPR rule database, scoring rubrics, and all associated works that constitute the platform.

This EULA should be read alongside the Terms of Service, which governs the commercial relationship (subscription, pricing, refunds, and liability). The EULA governs the intellectual-property and software-licence relationship. In any conflict, the Terms of Service take precedence, followed by this EULA, followed by the Privacy Policy.

The EULA comes into force when you accept the Terms of Service — acceptance of one constitutes acceptance of both. If you accept on behalf of a company, you represent that you are authorised to bind that company to these licence terms. The licence applies for the duration of your active subscription and terminates as described in §11 below.

TenderPulse is currently a hosted service only. There is no downloadable executable, no on-premises deployment, and no distributable binary. The licence granted here covers access to the hosted service through an authenticated browser session or API key. Future product editions (e.g. enterprise on-premises deployments) will be subject to separate licence agreements at that time.

Subject to your compliance with this EULA and the Terms of Service, TenderPulse grants you a worldwide, royalty-paid (via your subscription), non-exclusive, non-transferable, non-sublicensable, revocable licence to:

2.1 Use the hosted service

Access and use the TenderPulse web application at tenderpulse.com.bd and the associated management portal through your authenticated account, for the duration of your subscription. This includes logging in, navigating the interface, running the AI copilot, uploading documents, and exporting output files.

2.2 Use the AI copilot for your own tenders

Submit tender ZIP archives from the e-GP portal to the AI analysis pipeline, receive eligibility scores and narratives, ask the bid copilot questions about any tender document, and receive answers. You may use these outputs — including eligibility assessments, bill of quantities analyses, technical requirement summaries, risk summaries, and drafts — as inputs or finished content in your own tender bid submissions.

2.3 Export and use output documents

Export any AI-generated output, analysis, or report from the platform in the available formats (PDF, DOCX, or JSON). These exports are yours to use, edit, and submit. You may incorporate them directly into tender documents, transmit them to your clients or procurement entities, and store them in your own systems. You do not need any additional licence from TenderPulse to use output you have generated. The detailed IP treatment of outputs is in §4 below.

2.4 Manage multiple tenders concurrently

Within the limits of your subscription plan (number of simultaneous active tenders and storage quota), you may work on as many tenders as your plan permits without needing to delete earlier tenders first. Each tender session — including its uploaded documents, AI conversation history, and generated outputs — is isolated per tender in your account.

2.5 Use the API (where available)

If your subscription plan includes API access, you may integrate TenderPulse API endpoints into your own internal tools and workflows, subject to the rate limits and usage conditions in §5 below. API access does not expand the scope of permitted uses — every action available through the API is subject to the same restrictions that apply to UI use.

PRO-USER CLAUSE
All your normal business uses are licensed by default. We do not use the licence to restrict ordinary, reasonable business activity. If you are using TenderPulse for the purpose it was built — preparing, analysing, and submitting tenders on the Bangladesh e-GP portal — you do not need to seek our permission for any individual use. The permitted-use list above covers every legitimate procurement workflow we are aware of. If you are uncertain whether a specific use is permitted, email help@tenderpulse.com.bd and we will confirm within 3 business days — free of charge, without any commitment required on your side. We want you to use the product fully, not to worry about inadvertent licence breach.

Restrictions

The following uses are not permitted under this licence. These restrictions exist to protect the intellectual property that makes TenderPulse work — they do not restrict any legitimate procurement workflow.

3.1 No copying or redistribution of the platform

You may not copy, redistribute, sublicense, sell, lease, rent, lend, or expose the TenderPulse platform, any component of it, any system prompt, or any part of the PPR rule database to any third party, whether commercially or otherwise. Your licence is personal and non-transferable — it is tied to your account and your subscription, not to a device or a legal entity that can reassign access.

3.2 No reverse engineering (subject to statutory carve-outs)

You may not reverse-engineer, decompile, disassemble, or attempt to derive the source code, model weights, system prompt content, or embedding vectors from the service — except to the limited extent expressly permitted by statute (see §8 for the interoperability carve-out we explicitly grant). This restriction covers both direct technical reverse engineering and indirect inference-based extraction (e.g. systematic prompting designed to recover prompt content or scoring logic).

3.3 No bypassing of technical controls

You may not bypass, circumvent, disable, or attempt to circumvent authentication mechanisms, rate limits, subscription-plan gates, feature flags, or any other access control embedded in the platform. Automated scraping of content, price data, or AI outputs at a rate that circumvents plan limits is included in this restriction.

3.4 No competing product development

You may not use the TenderPulse platform, its outputs, or the knowledge gained from systematic exploration of its features to build, improve, or train any software product, AI model, scoring system, or data corpus that competes with TenderPulse or with any feature it offers. This includes using AI outputs to fine-tune language models for tender-preparation purposes.

3.5 No removal of branding or copyright notices

You may not remove, hide, alter, or obscure TenderPulse branding, copyright notices, or trademark marks from materials we provide — including PDF exports, DOCX exports, or any downloaded artefact. You may add your own company branding to exported documents without removing ours.

3.6 No export-control violations

You may not use the software in a manner that violates any applicable export-control law, sanction, or embargo under Bangladesh or international law.

Output ownership (yours)

This is the most important pro-user clause in this EULA. Read it carefully. Everything the AI produces in response to your prompts and your uploaded tender documents belongs to you — fully and exclusively — from the moment it is generated.

“Output” means: eligibility verdicts, bid-preparation briefs, bill of quantities analyses and summaries, technical requirement narratives, risk and deviation summaries, copilot chat answers, exported PDF and DOCX documents, fit-score calculations and explanations, and any other content produced by the TenderPulse AI pipeline in response to your inputs. Copyright Act 2000 (BD) §17

4.1 We claim no IP in your outputs

TenderPulse makes no intellectual-property claim of any kind over outputs you generate. We do not assert copyright, a derivative-work right, a compilation right, or any other intellectual-property right in any output generated during your subscription. We do not assert any right to display, publish, or reproduce your outputs for any purpose. The moment the AI generates a response for your account, that response is yours.

4.2 No licence-back to TenderPulse

We do not require you to grant us any licence in your outputs as a condition of using the service. There is no licence-back clause, no royalty-free grant, no non-exclusive right to use your outputs for any purpose. This is an unconditional commitment: your outputs are yours and we want nothing from them.

4.3 No display licence

We do not retain any right to display your outputs on our website, in our marketing materials, in case studies, or in any other public-facing context. If we ever want to showcase a use case involving your tender work, we will ask for your explicit written permission first. Silence is not consent.

4.4 Your responsibility for AI output accuracy

Ownership comes with responsibility. You own the output — and you are responsible for verifying it before use. AI is probabilistic and occasionally produces errors, misinterpretations, or hallucinations. Before incorporating any AI-generated content into a bid submission, check it against the source tender document and the current PPR 2008. TenderPulse is a decision-support tool, not a substitute for professional judgment. The eligibility verdict is a recommendation; you decide whether to bid.

4.5 Statistical aggregation (optional, opt-out available)

We would like the right to aggregate anonymised statistics derived from output patterns — for example, average eligibility score distributions across procurement categories, or the proportion of tenders where a given BOQ clause type triggers a flag — for the purpose of improving the platform. This aggregation would never surface individual outputs, never be traceable to your account or your tenders, and would use only aggregate numeric signals rather than text content. You may opt out of this statistical aggregation at any time from account settings. Your opt-out is respected immediately and does not affect your subscription.

PRO-USER CLAUSE
Every AI output is yours — unconditionally and irrevocably. We claim no IP, no derivative right, no display licence, no licence-back — not now, not in a future version of this EULA. This commitment is permanent: even if you cancel your subscription, outputs you generated during your subscription period remain yours. Even if TenderPulse is acquired, restructured, or wound down, your outputs belong to you — not to any acquirer or successor entity. We will never insert a clause that reclaims, restricts, or encumbers your ownership of what the AI produces for you.

API and UI access

TenderPulse is accessible through two interfaces: the web user interface (UI) at tenderpulse.com.bd and, for eligible subscription plans, a programmatic API. Both interfaces are covered by this licence and the same permitted uses and restrictions apply to both.

5.1 UI access

The UI is accessible to any authenticated user with an active subscription. There are no device restrictions — you may access the UI from any modern browser, on any device, anywhere in the world. We recommend using a Chromium-based browser (Chrome, Edge, Brave) or Firefox on a desktop device for the best experience. Mobile browser support is provided but the interface is optimised for desktop procurement workflows.

5.2 API access

API access is available on plans that include it (as stated in your order confirmation). API keys are account-scoped — a key operates with the same permissions as the user account that generated it, and is subject to the same subscription-plan limits. You are responsible for keeping API keys confidential. If you believe a key has been compromised, revoke it immediately from account settings and generate a replacement. TenderPulse is not liable for usage on compromised keys where the compromise resulted from your failure to follow reasonable key-management practices.

5.3 Rate limits and fair use

Each subscription plan carries defined rate limits — maximum API calls per minute, maximum tender uploads per day, and maximum concurrent AI sessions. These limits are shown in your account settings. Automated tools that deliberately route around rate limits (e.g. by using multiple accounts, rotating keys, or introducing artificial delays to evade throttling) are prohibited under §3.3. Bursting is permitted within the rate limits; sustained usage above the limit will trigger throttling, not immediate suspension.

5.4 Service availability

TenderPulse commits to the uptime and maintenance window terms described in the Terms of Service. This EULA does not create additional availability obligations. Planned maintenance will be announced at least 48 hours in advance via the Trust Center status page and by email to subscribed users.

Updates

TenderPulse is a cloud-hosted product and receives continuous updates — bug fixes, security patches, performance improvements, and new features. Because there is no downloadable binary, updates are deployed to the hosted service and take effect for all users automatically. This section explains how we manage updates in a way that respects your workflows.

6.1 Backward compatibility

Feature updates and additions are always backward-compatible during a major version cycle. Adding a new capability does not remove or change the behaviour of an existing one. If a feature you are actively using behaves differently after an update, that is a bug — report it and we will treat it as high priority.

6.2 Deprecation policy

When TenderPulse decides to discontinue a specific feature — either because it is replaced by something better or because maintaining it is no longer viable — we will announce the deprecation at least 90 days before the feature is removed. The deprecation notice will be delivered by email, in-app banner, and in the Trust Center changelog. During the 90-day window, the feature remains fully operational. After the 90-day window, we will remove it from the interface and API surface.

6.3 Security updates

Critical security patches may be deployed without advance notice when immediate action is required to protect user data or platform integrity. We will always describe the nature and scope of emergency patches in the Trust Center changelog within 48 hours of deployment. Security patches are never used as a vehicle to introduce feature changes or remove functionality.

6.4 Major version changes

If TenderPulse ever releases a major version that introduces breaking changes to the API surface or fundamentally alters the product experience, we will give at least 6 months of parallel operation (both versions available simultaneously) before the old version is retired. You will never be forced onto a new major version overnight.

PRO-USER CLAUSE
We never silently degrade features you are using. “Silent degradation” — reducing the capability, quality, or performance of a feature you rely on without announcing it — is something we explicitly prohibit ourselves from doing. If a feature you are using is going to become less capable (lower AI model tier, reduced rate limits, restricted output detail), we will tell you at least 90 days before that change takes effect, explain why, and offer you a migration path. If we ever fail to give you 90 days’ notice for a feature deprecation, you are entitled to a pro-rata subscription credit for the notice period we missed. Email help@tenderpulse.com.bd and we will process it within 5 business days.

TenderPulse is built on open-source software. We believe in the open-source ecosystem and we take our attribution obligations seriously. This section lists the primary open-source components used in the platform, their licences, and what that means for you.

Nothing in this EULA limits or restricts rights you have under the upstream open-source licences. If an open-source licence grants you a right — for example, to use, copy, modify, or distribute the open-source component itself under its licence terms — this EULA does not affect that right. Our proprietary licence covers the TenderPulse application layer built on top of open-source components, not the components themselves.

Reverse-engineering carve-out

The general prohibition on reverse engineering in §3.2 does not apply where reverse engineering is necessary to achieve interoperability with independently developed software. This carve-out exists as both a statutory right and an explicit contractual permission from TenderPulse.

Copyright Act 2000 (BD) §72 The Copyright Act, 2000 (Bangladesh) §72 provides that decompilation of a computer program is not an infringement where it is necessary to obtain information needed to achieve the interoperability of an independently created program with other programs. We fully acknowledge and respect this statutory right.

8.1 Scope of the interoperability carve-out

You may use reverse-engineering techniques (including analysis of API responses, network traffic inspection, and interface observation) to the extent necessary and proportionate to integrate TenderPulse with your own independently developed internal tools and systems. This carve-out is limited to:

  • Understanding the data formats and structures returned by the TenderPulse API and web interface for the purpose of building internal integrations.
  • Identifying how the TenderPulse authentication mechanism works, for the purpose of building a compliant authentication integration.
  • Determining how to correctly interpret and process TenderPulse export formats (JSON, PDF, DOCX) in your own internal systems.

8.2 What the carve-out does not cover

The interoperability carve-out does not permit reverse engineering of the AI inference pipeline, system prompt content, scoring rubrics, PPR rule database structure, or model fine-tuning artefacts. It does not permit using reverse-engineering findings to build competing products (§3.4 still applies). It covers access mechanisms and data formats only — not algorithmic logic.

8.3 Prefer the public API and documentation

Before resorting to reverse engineering, please consult our API documentation (available within the product to API-plan subscribers) and contact help@tenderpulse.com.bd with integration questions. In most cases we can provide the information you need directly, faster and more reliably than reverse engineering would.

PRO-USER CLAUSE
Explicit permission, not just a statutory carve-out. Most software EULAs say “you may not reverse-engineer” without acknowledging the statutory exceptions. We do the opposite: we explicitly grant you the interoperability right as a contractual permission, independently of any statute. This means that even in a jurisdiction where the statutory carve-out might be unclear or contested, you have our direct contractual authorisation to perform the reverse engineering described in §8.1 above. If you encounter any legal challenge to interoperability work you are performing under this carve-out, contact help@tenderpulse.com.bd and we will provide written confirmation of the permission within 48 hours.

Third-party integrations

TenderPulse integrates with, depends on, or provides connectivity to a number of third-party platforms and services. This section describes those integrations, the boundaries of our responsibility, and how your rights are protected across those boundaries.

9.1 Bangladesh e-GP portal (CPTU)

TenderPulse is designed to work with tender documents obtained from the Bangladesh e-GP portal operated by the Central Procurement Technical Unit (CPTU). We are not affiliated with, endorsed by, or integrated into the e-GP portal in any official capacity. You download tender documents from e-GP independently and upload them to TenderPulse. TenderPulse does not access e-GP on your behalf, does not hold your e-GP credentials, and does not submit bids to e-GP. Any submission to e-GP is your act, performed through your e-GP account.

9.2 AI inference (Anthropic via managed AI inference platform)

The AI copilot and analysis features are powered by Anthropic’s Claude model family, accessed through managed AI inference platform. Anthropic and the cloud provider are sub-processors, not co-controllers — they process your data solely under TenderPulse’s instructions. Your tender content and prompts are transmitted to the AI inference layer for processing and immediately discarded; they are not stored by Anthropic or the cloud provider beyond the inference cycle. The full details of how we protect your data through these integrations are in the Privacy Policy §5 and §10 of this EULA.

9.3 Payment processing (EPS Bangladesh)

Subscription payments are processed by EPS Bangladesh Limited, a Bangladesh Bank-licensed payment gateway. EPS processes your payment credentials in their PCI-DSS compliant environment; TenderPulse never receives, stores, or processes card numbers, CVV codes, PINs, or OTPs. Your payment relationship with EPS is governed by EPS’s own terms and conditions as you enter them during checkout.

9.4 TenderPulse responsibility boundary

TenderPulse is responsible for the service it delivers — the AI analysis, eligibility scoring, document management, and platform operation. We are not responsible for: the availability or accuracy of tender documents published on e-GP; changes to the e-GP platform that affect how TenderPulse can process downloaded documents; the availability of Anthropic or managed AI inference platform services (though we will implement fallback mechanisms where practical); or the accuracy of official PPR 2008 interpretations by procuring entities. We will always clearly communicate known third-party dependencies and their current status at the Trust Center.

9.5 User-initiated integrations

If you connect TenderPulse to third-party tools via the API (e.g. importing outputs into your ERP, CRM, or document management system), you are responsible for the security and compliance of those downstream connections. TenderPulse cannot monitor or secure data after it leaves our platform. Ensure that any downstream system you connect to meets your own data-protection obligations.

Data-feeding restrictions on us

This section describes the restrictions TenderPulse places on itself regarding the use of your data for AI training and model improvement purposes. These are not aspirational commitments — they are hard contractual obligations we hold ourselves to.

10.1 No training on your data — ever

TenderPulse does not use your data — including your tender uploads, prompts, copilot conversations, company profile, financial records, or AI outputs — to train, fine-tune, evaluate, or improve any AI model, whether operated by TenderPulse, Anthropic, our cloud provider, or any other sub-processor or third party. This prohibition is absolute and permanent. It applies regardless of whether the data is identified or anonymised, aggregated or individual, textual or numeric.

10.2 Anthropic API: training explicitly disabled

When TenderPulse calls Anthropic’s AI models through the Anthropic API or via managed AI inference platform, the API-customer default under Anthropic’s enterprise terms is that customer inputs are not used for model training. This is not a TenderPulse-specific opt-out that could accidentally be reset — it is the contractual baseline for all Anthropic API customers. Anthropic does not retain API inputs or use them to train or improve the Claude model family for API-connected usage. This has been the Anthropic policy since the commercial API launched and remains in force as of the date of this EULA.

10.3 Managed AI inference: same guarantee

Where TenderPulse accesses Claude via the managed AI inference layer, the inference provider’s service agreements explicitly state that customer inputs processed through inference are not used to train the underlying AI models. The inference layer is request-only — it routes prompts to foundation models and returns responses; it does not accumulate training data from API calls. Your tender content is processed and discarded at the inference boundary.

10.4 No derivative model fine-tuning

TenderPulse does not operate any process — automated or manual — that would collect, label, curate, or otherwise prepare your data as a training corpus for any AI model, including any derivative or fine-tuned model built on top of a foundation model. There is no human review pipeline that reads your tender content for the purpose of model improvement. Our team members who support the platform may access your data only through the audited break-glass process described in the Privacy Policy §8 — and that access is always for support purposes, never for model improvement.

10.5 No aggregation into training corpora

We do not aggregate your tender document content, procurement entity names, pricing data, or BOQ figures into any training corpus — whether for our own use or for sale, licensing, or sharing with any third party. The procurement data you upload is commercially sensitive; we treat it as confidential business information and do not use it as a data asset beyond delivering the service to you.

PRO-USER CLAUSE
We do NOT use your data to train any AI model — yours, ours, or any sub-processor’s. This is the “no training” guarantee that matters most to our procurement audience. You are uploading commercially sensitive tender data — pricing assumptions, financial capacity, technical strategies, personnel details. That data cannot be allowed anywhere near a training pipeline. We have structured our entire AI infrastructure to make this technically impossible, not merely contractually prohibited: Anthropic API (no training by default), managed AI inference platform (inference-only), no TenderPulse-internal labelling pipeline, no export of your content to any third party for any purpose other than delivering the inference result back to you. This section describes the circumstances under which the licence granted by this EULA ends, and the rights and obligations of both parties when it does.

11.1 Termination by expiry

The licence terminates automatically when your subscription expires and is not renewed within the grace period defined in the Terms of Service. Following subscription expiry, you will have a read-only access window of 14 days during which you can log in, view your account, and export your data. After the read-only window closes, access is suspended. Your data is deleted within 30 days of the final read-only window close.

11.2 Termination by you

You may terminate your subscription and this licence at any time by cancelling your subscription from account settings or by deleting your account. Deletion triggers the data deletion process described in the Privacy Policy §7. Outputs you have already downloaded or exported prior to account deletion remain yours and continue to be licensed to you under §4 indefinitely — account deletion does not revoke your ownership of already-generated outputs.

11.3 Termination by TenderPulse for breach

TenderPulse may terminate this licence — and the associated subscription — if you materially breach §3 (Restrictions) of this EULA or the Terms of Service. However, before terminating for breach TenderPulse must: (a) give you written notice specifying the breach, (b) give you 14 days to cure the breach, and (c) if you cure the breach within 14 days, proceed as if the breach had not occurred. Termination is a last resort, not a first response. We use it only where the breach is material and where cure is not possible or has not been attempted in good faith.

11.4 Termination for insolvency or cessation of business

If TenderPulse ceases to operate as a going concern — for example, in the event of an insolvency, winding-up, or acquisition that results in the product being discontinued — we will give subscribers at least 90 days’ notice, provide a full data export facility during that period, and offer a pro-rata refund of any unexpired prepaid subscription period. We will not simply turn off the service and disappear. The data export facility will remain available for the full 90-day notice period.

When this EULA terminates — whether by expiry, cancellation, or termination for breach — the following provisions survive termination and remain in full force indefinitely:

12.1 Output ownership survives (§4)

Your ownership of all AI outputs generated during your subscription period is permanent and irrevocable. Termination of the licence does not affect your ownership of outputs you generated during the term. Outputs you downloaded or exported prior to termination remain fully licensed to you under the terms of §4 — the no-IP-claim, no-derivative- right, no-display-licence commitment survives the end of the subscription relationship. An acquirer, successor, or trustee in bankruptcy of TenderPulse cannot assert IP rights over outputs you previously generated.

12.2 TenderPulse IP ownership survives (§4, §3)

TenderPulse’s ownership of the platform, software, system prompts, PPR rule database, and all other proprietary intellectual property survives termination. The end of your licence does not affect our ownership. Following termination, the restrictions in §3 continue to apply to any content that was in your possession at the time of termination — you may not begin reverse-engineering, copying, or redistributing platform components simply because the licence has ended.

12.3 No-training guarantee survives (§10)

The prohibition on TenderPulse using your data to train any AI model survives the termination of this EULA. Even after your subscription ends and your account is deleted, TenderPulse cannot use data it processed during your subscription for any AI training purpose. This prohibition binds TenderPulse, its successors, and any entity that acquires TenderPulse or its assets.

12.4 Governing law and disputes survive

The governing law provision and dispute resolution mechanism described in the Terms of Service survive termination of this EULA. Any dispute arising out of the EULA — including disputes about what was permitted, what was owned, or whether a termination was valid — is governed by Bangladesh law and resolved through the dispute resolution process in the Terms.

12.5 Limitation of liability survives

The liability limitations and exclusions in the Terms of Service apply to all claims arising under this EULA, both during and after the subscription term. The aggregate liability cap in the Terms covers all claims under both documents combined — not separately. Claims under this EULA must be brought within the limitation period applicable under Bangladesh law.

12.6 Sections that do not survive

The affirmative licence grants in §2 (what you may do) and §5 (API and UI access) do not survive termination — after the licence ends, you no longer have the right to access or use the platform. You must immediately cease using the TenderPulse service and any cached copies of the interface. Any API keys associated with a terminated account are revoked automatically.
